The participation fee is $500 and vendors receive a 10×10 tent or space for a food truck.

Terms and Conditions
1. Vendor Space and Fees
1.1 Vendor Space: Organizer agrees to provide Vendor with a space of 10×10 or space for food truck for the duration of the festival.
1.2 Fees: Vendor agrees to pay a fee of $500.00 for the use of the space. This fee is due upon confirmation of this agreement.
1.3 Payment Method: Payment shall be made via credit card.

2. Vendor Responsibilities
2.1 Setup and Breakdown: Vendor shall set up their space by 9:00AM on September 2, 2024 and break down their space by 6:00PM on September 2, 2024.
2.2 Permits and Licenses: Vendor shall obtain all necessary permits and licenses required by the City of Atlanta and the State of Georgia to operate at the festival.
2.3 Health and Safety: Vendor shall comply with all health and safety regulations. Vendor is responsible for keeping their space clean and free of hazards.
2.4 Waste Disposal: Vendor shall properly dispose of all waste and leave their space in the same condition as it was found.
2.5 Products: Vendor shall sell only the products listed in Exhibit A attached to this Agreement.

3. Organizer Responsibilities
3.1 Space Provision: Organizer shall provide the agreed-upon space. Access to electricity and water will not be provided.
3.2 Promotion: Organizer shall promote the festival through various marketing channels to attract attendees.

4. Indemnity and Insurance
4.1 Indemnification: Vendor agrees to indemnify and hold harmless the Organizer, its officers, employees, and agents from any and all claims, damages, losses, and expenses arising out of or resulting from Vendor’s participation in the festival.
4.2 Insurance: Vendor shall provide proof of liability insurance with a minimum coverage of $1,000,000, naming the Organizer as an additional insured.

5. Cancellation and Refunds
5.1 Cancellation by Vendor: Vendor may cancel their participation in the festival by providing written notice to Organizer no later than [Cancellation Notice Deadline]. If Vendor cancels by this date, they will receive a refund of [percentage]% of the fee. Cancellations after this date will not be eligible for a refund.
5.2 Cancellation by Organizer: If the festival is canceled by the Organizer for any reason, Vendor will receive a full refund of the fee.

6. Miscellaneous
6.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
6.2 Amendments: This Agreement may only be amended in writing signed by both parties.
6.3 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.
6.4 Dispute Resolution: Any disputes arising under this Agreement shall be resolved through mediation or, if mediation fails, through binding arbitration in Atlanta, GA.
6.5 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
